Subscriber acknowledges that Buzgibi provides tools intended for responsible use, and it is the Subscriber’s sole responsibility to ensure such use complies with all applicable regulations. Continued access to and use of Buzgibi’s services is contingent upon the Subscriber’s adherence to these Terms of Service. While Buzgibi may monitor the upload of information, databases, or audio messages, it is not obligated to do so and assumes no responsibility for the content uploaded by the Subscriber. The Subscriber agrees to comply with all relevant laws and the following specific requirements.

Compliance with Applicable Telemarketing and Dialing Laws

Subscriber agrees to fully comply with all applicable Federal and State laws, rules, and regulations governing the use of automated, prerecorded, or artificial calls or texts. This includes, but is not limited to, compliance with the Telephone Consumer Protection Act (TCPA), the Telemarketing Sales Rule, associated Do-Not-Call regulations, and any equivalent state laws governing telemarketing, prerecorded or automated calls/texts, state do-not-call regulations, and state telemarketer registration requirements.

Subscriber shall ensure that Caller ID information is accurate, correct, and truthful.
Subscriber shall provide all legally required disclosures.
Subscriber acknowledges that it bears the sole responsibility for compliance with these laws.

Subscriber understands that recipient consent is required for certain types of communications and acknowledges that different levels of consent may apply depending on the type of communication.

If the Subscriber lacks the necessary consent or a business relationship with the recipient as required by law, or if no valid legal exemption applies, the Subscriber shall not initiate that communication.
The Subscriber must maintain records demonstrating that consent, a business relationship, or a valid legal exemption was in place at the time of communication and must provide certified copies of such records to Buzgibi upon request.

Terms of Service

These Terms of Service (the “Agreement”) govern the use of Buzgibi’s platform services, including its programs, features, account portals, and technical support (the “Services”). The Agreement is entered into by Buzgibi and the entity or individual using or accessing the Services (the “Subscriber”). By using the Services, the Subscriber agrees to be bound by these terms. Buzgibi may modify these terms at any time by posting the revised terms on its website, and continued use of the Services constitutes acceptance of the revised terms.

Buzgibi reserves the right to revise this Agreement and other information on its website at any time without notice. Additionally, Buzgibi may make improvements or changes to the Services at any time without notice.

General

All content on Buzgibi’s website (the “Site”) is protected by intellectual property laws and may not be copied, reproduced, republished, uploaded, posted, transmitted, distributed, or used to create derivative works without Buzgibi’s prior written consent. Buzgibi grants Subscriber a non-exclusive, non-transferable, limited permission to access and display the web pages within this Site, provided that the Subscriber does not modify the content and adheres to all terms, conditions, and notices.

Non-compliance with this Agreement will result in the automatic termination of the Subscriber’s rights to use the Site, and the Subscriber must immediately destroy all copies of downloaded materials. Buzgibi does not grant any express or implied rights or licenses under any patents, trademarks, copyrights, or other proprietary rights.

Certain Disclaimers

Buzgibi does not guarantee the accuracy, completeness, or currency of the information on this Site, which may contain technical inaccuracies or typographical errors. The Subscriber should confirm the accuracy of all posted information before making any decisions related to the Services.

Subscriber Data

Subscriber grants Buzgibi a non-exclusive, royalty-free, worldwide, perpetual, irrevocable, transferable, sublicensable license to use, reproduce, display, distribute, and create derivative works from Subscriber-owned data provided in connection with the Services. This license is granted for the purpose of fulfilling Buzgibi’s obligations under this Agreement, including research, development, and other business activities.

Usage Data

Subscriber acknowledges that Buzgibi may collect usage, technical, and statistical data related to Subscriber’s use of the Services. This data is the sole property of Buzgibi and may be used and disclosed without restriction.

Confidentiality

During the performance of the Services, each party may disclose or receive confidential information. Such information must be treated with the highest degree of care and protected from unauthorized use or disclosure.

Indemnification

Subscriber agrees to defend, indemnify, and hold harmless Buzgibi and its affiliates from any claims, liabilities, damages, and expenses arising out of Subscriber’s breach of this Agreement, negligence, or misuse of the Services.

Warranty Disclaimer

Buzgibi provides the Services "as is" without warranties of any kind. Buzgibi disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability

Buzgibi shall not be liable for any indirect, incidental, special, or consequential damages arising out of the use or inability to use the Services, even if Buzgibi has been advised of the possibility of such damages.

Compliance with Law

Subscriber agrees to use the Services in compliance with all applicable laws and regulations, including the TCPA and other teleservices and privacy laws.

Third Party Content and Sites

Buzgibi is not responsible for third-party content or sites that may be accessed through its Services. Subscriber’s use of third-party services is at their own risk and governed by the third party's terms and conditions.

Relationship of the Parties

The parties are independent contractors, and neither party is an employee, agent, partner, or joint venture of the other.

Dispute Resolution

All disputes arising under this Agreement shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration will be conducted in Maricopa County, Arizona.

Governing Law

This Agreement is governed by the laws of the State of Arizona, without regard to its conflicts of law principles.

Severability and Survivability

If any provision of this Agreement is held invalid, the remaining provisions shall continue in effect. Provisions that naturally survive termination shall remain in effect.

Waiver

A party’s failure to enforce any provision of this Agreement shall not be construed as a waiver of that provision or any other provision.

Miscellaneous

Each party represents that it has the authority to enter into this Agreement. This Agreement constitutes a binding obligation of the parties. Force majeure events may excuse a party’s performance under this Agreement. Buzgibi may assign its rights without notice to Subscriber; Subscriber may not assign rights without Buzgibi’s consent.
